2007 Seasonal Wireless Internet Application

APPLICATION FOR WIRELESS SERVICE: By signing this Wireless Internet Contract, Customer applies for wireless Internet service at the recreational facilities known as Sunset Lakes Resort (“SLR”), located at 2700 290th Street North, Hillsdale IL. This Wireless Internet Contract will become valid if not rejected by Protokal Industries (“PI”) within ten (10) days of the deposit of the application fee. PI nor SLR guarantee the availability or connectivity to the wireless network. Connectivity or availability of the wireless Internet network is not a condition of your seasonal contract with SLR.

1. AVAILIBILITY OF CONNECTION: Customer applies for wireless Internet service at site # listed on the front of their Seasonal Wireless Internet Application at SLR. It is the customers responsibility to provide a high quality external wireless card to receive the “802.11b” broadcasted signal, a PI representative can offer suggestions on known brands that work well. PI cannot guarantee the availability of service at all sites at SLR, from either of it’s three broadcast towers. PI strives to offer, but does not continuously guarantee, good weather download speeds of 256 kb/s. PI may not guarantee these signals if the Customer moves sites. Please take into account that weather and obstructions, such as vehicles, may decrease both signal speed and signal strength. If service is disrupted the Customer shall notify PI and PI will have the opportunity to determine the cause of interruption. No refunds will be issued for temporary or Customer caused interruptions.

2. MONTHLY SERVICE FEE: A monthly service fee has been waived for the 2007 normal operating season April 15th to October 15th, 2007. A one time non-refundable application and setup fee will be due from the customer at time of account activation.

3. NON-TRANSFERABILITY: The Customer may not transfer this agreement or the monthly service to any other individuals. Customer agrees to utilize this service for their personal or business use. Customer agrees not to rebroadcast the signal, and further agrees not to resell or offer for free to others an Internet connection. Penalty for offering an internet connection to another person or computer will be at an amount equaling the application fee listed on this contract plus 6 months of service at $34.95 per month times the number of illegal users found, minimum being one.

4. AUTHENTICATION: Customer agrees to provide PI with the MAC address of the computer being used for the wireless Internet connection. PI will provide the Customer a secret user name and password, that is not to be given to any other people, which will allow one computer to log onto the network. If the Customer purchases a new computer, it is their responsibility to notify PI of the new MAC address and allow a reasonable amount of time for PI to create a new user name and password. User names and passwords are secret and computer specific. One computer is allowed per Customer account. Additional computers may be utilized by the Customer at the Customers campsite once an application and fee for an additional computer has been accepted.

5. RELEASE OF LIABILITY: Customer agrees to hold harmless PI and further releases PI of any liability resulting from usage of the Internet. Customer agrees to abide by the “Acceptable Use” policy at www.sunsetlakesresort.com, as it may from time to time be reasonably amended at PI’s discretion.

6. DEFAULT: Time is of essence in this contract and any of the following events shall be considered an “event of default”

a) Any failure by the Customer to pay within thirty (30) days of the due date the full amount of any payment or any other indebtedness or charge which is or may be due under this contract; or
b) Any false or misleading representations by the Customer herein; or
c) Customer becomes insolvent or the subject of any proceedings under the federal bankruptcy laws, or upon Customer’s making an assignment for the benefit of creditors, or attempting to transfer this contract or service or internet connection to another party; or
d) Customer causing a wanton malicious act hindering or interfering their or others wireless Internet service provided by PI.
e) Any breach on the customers part of the “Acceptable Use” policy.

7. REMEDIES AND COLLECTION COSTS: On the occurrence of default lasting thirty (30) days or more, PI at it’s option and after 30 days written notice, may declare the remaining balances of the application fee, the monthly service fee due through the end of the contract, and any late fees dues and as they may continue to accrue, all immediately due and payable. In the alternative PI may, at its option, and sole discretion, upon thirty (30) days written notice to the Customer, cancel the Customers wireless service. The Customer shall remain liable for the entire unpaid principal balance of the amounts listed previously on this paragraph due. In an “event of default” and, without limiting any of PI’s remedies, Customer agrees to pay on demand the additional amount of all expenses reasonably incurred by PI, (up to 33% of the balance owed) in efforts to collect the indebtedness hereunder, as limited by applicable law. PI shall have all remedies provided by law, and is not limited to those expressly set forth in this document.

FORCE MAJEURE: PI shall not be responsible for the events beyond its reasonable control, such as acts of god, weather, or government restrictions. Any event that materially reduces the availability of wireless internet services to the Customer exceeding 10 consecutive days, not replaced by an alternative convenient option, shall give rise to a pro-rata discount of their Monthly Service fees for that period (application fees do not qualify for consideration of refund). No such event shall have any effect on the Customer’s payment obligation hereunder.
